1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the DataPilotAPI website, API, dashboard, and any related services (collectively, the "Services") provided by DataPilotAPI ("we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you may not use the Services. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Services

DataPilotAPI provides an application programming interface (API) and related tools that allow you to access certain data, including listing and related information that we aggregate or make available from third-party sources. The Services are provided on a subscription or usage basis as described on our website and in your account. We may modify, suspend, or discontinue any part of the Services at any time, with or without notice, and we are not liable to you or any third party for any such change.

3. Account and API Keys

You may need to create an account and obtain API keys to use certain parts of the Services. You are responsible for maintaining the confidentiality of your account credentials and API keys, and for all activity that occurs under your account. You must notify us promptly of any unauthorized use. You may not share your API keys with third parties or use them in a manner that exceeds the usage limits or plan terms applicable to your account. We may revoke or rotate API keys if we suspect misuse or for security reasons.

4. Acceptable Use

You agree not to use the Services to:

  • Violate any applicable law, regulation, or third-party rights
  • Transmit malware, spam, or any harmful or illegal content
  • Attempt to gain unauthorized access to our systems, other accounts, or any network
  • Reverse engineer, decompile, or attempt to extract source code of the Services (except as permitted by law)
  • Resell or redistribute the Services or data in a manner that competes with us or that we have not expressly permitted
  • Use the Services in a way that could harm, overburden, or impair our infrastructure or the experience of other users
  • Scrape or automate access to our website or dashboard in violation of our instructions or robots.txt

We may monitor usage and suspend or terminate access if we reasonably believe you have violated these Terms or our acceptable use policies.

5. Third-Party Data and Disclaimer

Data provided through our API may include information that originates from or is associated with third-party sources, including public listing and marketplace data. We do not create, control, or endorse the underlying content of those third parties. We provide access to such data "as is" for your use in accordance with these Terms. You are solely responsible for ensuring that your use of the data complies with all applicable laws and third-party terms. We are not responsible for the accuracy, completeness, legality, or timeliness of third-party data, and we disclaim any representation or warranty regarding such data.

6. Intellectual Property and License

We and our licensors own all right, title, and interest in the Services, including the API, software, design, and our trademarks and branding. Subject to your compliance with these Terms and your plan, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business or personal use. You do not acquire any ownership rights in the Services or in any data we provide except as expressly permitted (e.g., use of output in your applications). You may not remove any proprietary notices or use our marks without prior written consent.

7. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. YOUR USE OF THE SERVICES AND ANY DATA OBTAINED THEREFROM IS AT YOUR SOLE RISK.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DATAPILOTAPI, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, USE, OR GOODWILL) ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES; IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

9. Indemnification

You agree to indemnify, defend, and hold harmless DataPilotAPI and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) your use of the Services, (b) your violation of these Terms or any applicable law, (c) your violation of any third-party right, or (d) any dispute between you and a third party relating to data or content obtained through the Services. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, at your expense.

10. Termination

You may stop using the Services at any time. We may suspend or terminate your access to the Services, or your account, at any time for any reason, including breach of these Terms, non-payment, or for our convenience. Upon termination, your right to use the Services ceases immediately. Sections that by their nature should survive termination (including disclaimers, limitation of liability, indemnification, and governing law) will survive.

11. Changes to the Terms

We may modify these Terms at any time. We will post the updated Terms on this page and update the "Last updated" date. For material changes, we may also notify you by email or through the Services. Your continued use of the Services after the effective date of the changes constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Services.

12. General

  • Governing law: These Terms shall be governed by the laws of the United States and the State of Delaware, without regard to conflict of law principles.
  • Disputes: Any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction there.
  • Entire agreement: These Terms, together with our Privacy Policy and any plan or order terms, constitute the entire agreement between you and DataPilotAPI regarding the Services.
  • Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in effect.
  • Waiver: Our failure to enforce any right or provision shall not constitute a waiver of such right or provision.
